INTRODUCTION

These Terms and Conditions, as amended from time to time (these “Terms”), govern all bookings, reservations, and participation in golf travel programs offered by Icon Golf, LLC, a Texas limited liability company (“Icon Golf,” “we,” “us,” or “our”), through its affiliate Green Golf Ball Limited, a private limited company incorporated in Ireland and doing business as “Icon Links.” Through its Icon Links offering, Icon Golf organizes curated golf travel experiences primarily to Ireland, Scotland, England, Wales, and other premier golf destinations in the United Kingdom and Europe (each, an “Icon Links Trip”).

By submitting a booking request or Deposit for any Icon Links Trip, the Client and the Lead Traveler (as defined below) agree to be legally bound by these Terms on behalf of themselves and all members of their travel party. These Terms form a binding contract between Icon Golf and each Client. Please read them carefully before completing any reservation.

I. DEFINITIONS

For the purposes of these Terms, the following terms and variations thereof have the meanings specified or referred to in this Section:

“Amendment” means any change to a confirmed Booking, including changes to travel dates, itinerary components, Client names, accommodations, golf venues, or the number of Clients.

“Booking” means a reservation for an Icon Links Trip that has been confirmed by Icon Golf in writing following receipt of the applicable Deposit.

“Booking Confirmation” means the written communication issued by Icon Golf confirming a Booking and setting out the itinerary, Clients, pricing, payment schedule, inclusions, exclusions, and applicable terms.

“Client” means any individual who is registered for and participates in, or seeks to participate in, an Icon Links Trip, including the Lead Traveler.

“Deposit” means the initial non-refundable payment required to secure a Booking, as specified in Section 5.1.

“Force Majeure Event” means any event or circumstance beyond Icon Golf’s reasonable control, including but not limited to acts of God, severe weather, natural disaster, fire, flood, earthquake, hurricane, pandemic, epidemic, public health emergency, government action or restriction, war, terrorism, civil unrest, strikes, labor disputes, airline or transportation disruption, supplier insolvency, or any other cause that is unforeseeable, unavoidable, and not attributable to Icon Golf’s fault or negligence.

“Icon Group” means Icon Golf and each of its direct and indirect parent companies, subsidiaries, affiliates, and related entities (including, without limitation, Icon Links), and each of their respective shareholders, members, directors, managers, officers, employees, agents, and representatives.

“Icon Links” means the golf travel brand operated by Icon Golf through its affiliate, Green Golf Ball Limited, a private limited company incorporated in Ireland, that offers curated golf travel programs to Ireland, the United Kingdom, and other premier golf destinations.

“Icon Links Trip” or “Trip” means a golf travel experience organized by Icon Golf through its Icon Links offering, as described in a Booking Confirmation.

“Lead Traveler” means the Client who submits the Booking on behalf of a travel party, accepts these Terms on behalf of all Clients in the party, and is the primary point of contact for Icon Golf.

“Supplier” means any third-party service provider engaged by Icon Golf or any other member of the Icon Group in connection with an Icon Links Trip, including golf courses and clubs, hotels and guesthouses, transportation companies, airlines, restaurants and catering companies, caddies, guides, event operators, destination-management companies, and other vendors.

“Total Price” means the all-inclusive price per Client stated in the Booking Confirmation for a specific Icon Links Trip.

“Trip Departure Date” means the first day of the Icon Links Trip as stated in the Booking Confirmation.

II. PRICING AND CURRENCY

Currency

Icon Links Trip prices are quoted in U.S. Dollars (USD), as specified in the Booking Confirmation. All payments must be made in USD unless Icon Golf expressly agrees in writing to accept payment in another currency.¹

Bank Transfers

For payments made by bank transfer, all bank charges and wire fees are the sole responsibility of the Client. Payments must be received by Icon Golf in the full invoiced amount, net of all transfer charges.

Payment Processing Fees

Payments made by credit card [or PayPal]² are subject to a processing fee of three percent (3%) of the transaction amount, unless otherwise stated at the time of booking. Icon Golf reserves the right to modify payment processing fees upon reasonable notice.

Price Changes

Icon Golf may adjust published Trip prices at any time prior to Booking. Once a Booking Confirmation is issued and the Deposit has been received, the Total Price is guaranteed subject to Section 2.5.

Post-Confirmation Price Changes

Icon Golf reserves the right to pass through to Clients any increases in taxes, port charges, airport taxes, government fees, fuel surcharges, or other Supplier-imposed surcharges that arise after a Booking is confirmed and are beyond Icon Golf’s reasonable control. Icon Golf will provide prompt written notice of any such adjustment.

III. BOOKING AND CONFIRMATION

Booking Request

To reserve space on an Icon Links Trip, a Client must submit a completed booking form to Icon Links and pay the required Deposit. Submission of a booking form does not guarantee a reservation.

Booking Confirmation

A Booking is confirmed only upon (i) receipt by Icon Golf of the Deposit, and (ii) issuance of a written Booking Confirmation by Icon Golf. Icon Golf reserves the right to decline any booking request prior to issuance of a Booking Confirmation.

Accuracy of Information

The Lead Traveler is responsible for ensuring that all information provided in connection with a Booking is accurate and complete, including Client names, passport details, contact information, handicap certificates (where required), and any special requirements.

IV. LEAD TRAVELER RESPONSIBILITY

Authority to Book

By submitting a Booking, the Lead Traveler represents and warrants that he or she has authority to bind each Client in the travel party to these Terms and has communicated these Terms to all Clients.

Group Responsibility

The Lead Traveler is responsible for (i) communicating all Booking details, payment obligations, cancellation terms, and these Terms to all Clients in the travel party; (ii) collecting individual Client payments and remitting the full balance owed to Icon Golf according to the payment schedule; (iii) submitting all Client names, passport details, handicap certificates (where required), and other documentation on behalf of the group; (iv) notifying Icon Golf of any changes to the group, including Client substitutions or withdrawals; and (v) serving as Icon Golf’s primary point of contact for all matters related to the Booking.

Financial Responsibility

The Lead Traveler is jointly and severally liable with each Client in the travel party for all amounts due to Icon Golf under a Booking.

Acceptance on Behalf of Group

By paying the Deposit and accepting the Booking Confirmation, the Lead Traveler accepts these Terms on behalf of all Clients in the travel party.

V. PAYMENT TERMS

Standard Payment Schedule

The following payment schedule applies to all Icon Links Trips unless otherwise specified in the Booking Confirmation:

Deposit (non-refundable): 25% of Total Price per Client, due at time of Booking.

Interim Payment: 25% of Total Price per Client, due 120 days prior to the Trip Departure Date.

Final Balance: 50% of Total Price per Client (remaining balance), due 60 days prior to the Trip Departure Date.

Late Bookings

For Bookings made within 120 days of the Trip Departure Date, the Deposit and Interim Payment may be combined and due immediately. For Bookings made within 60 days of the Trip Departure Date, the full Total Price is due immediately at the time of Booking.

Groups of 16 or More

For Bookings of 16 or more Clients, Icon Golf reserves the right to require a higher initial Deposit, additional interim payments, or earlier payment of the Final Balance, as required by golf courses, hotel partners, transportation operators, destination management companies, or other Suppliers. The specific payment schedule for groups of this size will be set forth in the Booking Confirmation.

Supplier-Driven Payment Adjustments

Icon Golf reserves the right to require earlier payment or additional interim deposits if required by any Supplier. Icon Golf will provide reasonable advance written notice of any such requirement.

Accepted Payment Methods

Icon Golf accepts payment by [bank transfer, wire transfer, credit card, or PayPal,]³ subject to the processing fees described in Section 2.3.

VI. FAILURE TO PAY

Payment Deadlines

Each payment described in Section 5.1 must be received by Icon Golf on or before the applicable due date. Time is of the essence with respect to all payment obligations.

Default and Cancellation by Icon Golf

If any payment is not received by its due date, Icon Golf may, in its sole discretion and without further notice, (i) cancel the Booking and release the reserved space; (ii) retain all amounts previously paid, including the Deposit and any Interim Payment, as liquidated damages and not as a penalty; and (iii) pass through to the Lead Traveler and Clients any cancellation penalties, forfeitures, or costs imposed by Suppliers as a result of the payment default.

Cure Period

Icon Golf may, but is not obligated to, provide written notice allowing the Lead Traveler five business days to remit an outstanding balance before exercising its cancellation rights.

VII. CANCELLATION

Written Notice Required

All cancellations by Client or Lead Traveler must be submitted in writing to Icon Golf by the Lead Traveler. A cancellation is effective only upon Icon Golf’s written acknowledgment.

Cancellation Charges

The following cancellation charges apply per Client based on the number of days prior to the Trip Departure Date on which written cancellation is received by Icon Golf:⁴

More than 120 days prior to Departure: Forfeiture of Deposit (25% of Total Price). Interim Payment and Final Balance, if paid, will be refunded.

91 to 120 days prior to Departure: Forfeiture of Deposit and Interim Payment (50% of Total Price). Final Balance, if paid, will be refunded.

61 to 90 days prior to Departure: Forfeiture of 75% of Total Price.

60 days or fewer prior to Departure (including No-Show): Forfeiture of 100% of Total Price. No refund will be issued.

Supplier Penalties

The cancellation charges in Section 7.2 represent Icon Golf’s minimum retention and may be supplemented by additional penalties or non-refundable costs passed through from Suppliers. Icon Golf will provide documentation of any Supplier-imposed penalties applied to a cancelled Booking.

Travel Insurance

Icon Golf strongly recommends that each Client purchase comprehensive travel insurance covering cancellation, trip interruption, medical emergencies, and other covered losses. See Article XII for additional information.

VIII. AMENDMENTS AND CHANGES

Written Requests

All Amendment requests must be submitted in writing by the Lead Traveler and are subject to availability and Supplier acceptance.

Amendment Fees

The first Amendment to a confirmed Booking is processed without an administrative charge. Each subsequent Amendment per Booking is subject to an administrative fee of $100, in addition to any Supplier-imposed costs or price increases.

Repricing

Amended Trips are repriced at the rates prevailing at the time of the Amendment, which may result in an increase or decrease to the Total Price.

Late Amendments

Amendments requested within 60 days of the Trip Departure Date are subject to Supplier approval and may not be possible. If a requested Amendment cannot be accommodated, no refund will be issued for the original Booking component.

IX. CHANGES AND SUBSTITUTIONS BY TRAVELER

Name Changes

Requests to change a Client name on a confirmed Booking must be submitted in writing by the Lead Traveler and are subject to availability, Supplier approval, and the payment of any applicable fees charged by Icon Golf or its Suppliers. Name changes are not always possible, particularly within 60 days of the Trip Departure Date, and Icon Golf makes no guarantee that a name change can be accommodated after a Booking is confirmed.

Substitutions

A Client may request that an eligible individual be substituted in his or her place on a confirmed Booking, subject to Icon Golf’s prior written approval, the payment of any applicable transfer or substitution fees, compliance with any eligibility requirements for the Trip, and the approval of all relevant Suppliers. Substitution requests are not available within 30 days of the Trip Departure Date.

Group Reductions

If one or more Clients in a group Booking cancels their participation, the remaining Clients in the Booking remain individually liable for their respective Total Price obligations. Icon Golf does not guarantee that group pricing, group amenities, or group upgrades will be maintained if the group size falls below any minimum threshold specified in the Booking Confirmation.

Single Supplement

Where a Client is booked to share accommodations with another Client and that other Client cancels, the remaining Client may be required to pay a single supplement in order to retain single-occupancy accommodations. The applicable single supplement will be stated in the Booking Confirmation or communicated to the Lead Traveler at the time the other Client cancels. If the Client does not wish to pay the single supplement, Icon Golf will make reasonable efforts to arrange shared accommodations with another same-gender Client, subject to availability.

X. CHANGES AND SUBSTITUTIONS BY ICON GOLF

Right to Modify

Icon Golf reserves the right to make reasonable modifications to a confirmed itinerary, including changes to golf course order, tee times, hotel assignments, dining venues, transportation schedules, or routing, where required by Supplier availability, course conditions, safety considerations, weather, or other operational needs.

Material Changes

If Icon Golf must make a material change to a confirmed Trip, Icon Golf will notify the Lead Traveler as soon as practicable. In the event of a material change that is not acceptable to the Lead Traveler, Icon Golf and Lead Traveler agree to use good faith efforts to determine a reasonable alternative.

Cancellation of Trip

Icon Golf reserves the right to cancel a Trip if a minimum participation threshold is not met. In the event of cancellation, Icon Golf will offer Clients (i) a full refund of amounts paid or (ii) a credit toward a future Trip of comparable value, at each Client’s election.

XI. CHARGEBACK AND PAYMENT DISPUTES

Authorized Payments

By submitting payment for a Booking, each Client and the Lead Traveler confirm that the payment is authorized and that they have read, understood, and accepted these Terms, including the cancellation and refund policies.

Improper Chargebacks

Icon Golf reserves the right to dispute any chargeback or payment reversal that it determines to be improper or inconsistent with these Terms. In the event of an improper chargeback, Icon Golf may (i) cancel all related or future Bookings associated with the Client or Lead Traveler; (ii) pursue recovery of all amounts owed, including chargeback fees; and (iii) seek recovery of reasonable attorneys’ fees and costs, to the extent permitted by applicable law.

Pre-Chargeback Dispute Resolution

Clients are encouraged to contact Icon Golf directly before initiating a chargeback or payment dispute. Icon Golf will make reasonable efforts to resolve legitimate disputes promptly.

XII. TRAVEL INSURANCE

Recommendation

Icon Golf strongly recommends that each Client purchase comprehensive travel insurance prior to the Trip Departure Date. Travel to Ireland, Scotland, England, Wales, and other international destinations carries inherent risks that can result in significant financial loss if travel insurance is not obtained.

Suggested Coverage

Recommended coverage includes (i) trip cancellation and interruption; (ii) medical expenses, emergency evacuation, and repatriation to country of residence; (iii) baggage loss, delay, or damage; (iv) travel delay; (v) supplier default or insolvency; (vi) Force Majeure-related disruption; (vii) weather-related cancellation or curtailment; and (viii) public health disruption.

Participant Responsibility

Failure to purchase adequate travel insurance is the sole risk and responsibility of the Client. Icon Golf will not be responsible for losses that would have been covered by recommended travel insurance.

Acknowledgment

By proceeding with a Booking, each Client acknowledges that comprehensive travel insurance has been recommended.

XIII. THIRD-PARTY SUPPLIERS

Intermediary Role

Icon Golf acts as an organizer and arranger of Icon Links Trips. In connection with each Trip, Icon Golf or its affiliate contracts with various Suppliers, including golf courses and private clubs, hotels, guesthouses, bed and breakfasts, transportation operators, restaurants, caddies, guides, activity providers, and other vendors. These Suppliers are independent third parties and are not employees, agents, or representatives of any member of the Icon Group.

Supplier Responsibility

No member of the Icon Group is responsible for the acts, omissions, errors, negligence, insolvency, or default of any Supplier. Each Supplier’s services are provided subject to that Supplier’s own terms and conditions.

Supplier Refunds

Icon Golf’s ability to refund amounts paid for Trip components is limited to amounts actually recovered from the applicable Supplier. Icon Golf will use commercially reasonable efforts to recover refunds on Clients’ behalf.

Supplier Substitution

Icon Golf reserves the right to substitute a Supplier with a comparable alternative where the original Supplier is unavailable, has cancelled, or where substitution is necessary for operational, safety, or quality reasons.

XIV. FORCE MAJEURE

Excused Performance

The Icon Group will not be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay is caused by a Force Majeure Event. Icon Golf will notify the Lead Traveler of a Force Majeure Event as soon as reasonably practicable. In the event of a Force Majeure Event that materially affects an Icon Links Trip, Icon Golf will, in its sole discretion and to the extent reasonably practicable, (i) modify the itinerary; (ii) offer a credit toward a future Trip equal to amounts recoverable from Suppliers; or (iii) issue a refund limited to amounts actually recovered from Suppliers, net of Icon Golf’s reasonable non-recoverable costs. Icon Golf is not obligated to issue a full refund in connection with a Force Majeure Event. 

No Additional Liability

The Icon Group will not be responsible for any incidental or consequential costs incurred by Clients in connection with a Force Majeure Event, including independently booked airfare, lodging, or meals.

XV. WEATHER AND CONDITIONS

Course Closures

If a golf course is closed on the day of a scheduled round, any refund, credit, or rain check issued by the golf course will be passed through to Clients, net of administrative costs. Icon Golf will not issue refunds for cancelled rounds beyond amounts recovered from the applicable course.

Club Access Requirements

Each golf course has its own policies regarding handicap certificates and maximum handicap limits, guest access, dress codes, pace of play, mobile device use, photography restrictions, and the conduct of guests. Clients are solely responsible for complying with the rules of each golf course visited. A golf course may refuse access to any Client who fails to meet its requirements, and no refund will be issued in such circumstances.

Irish and UK Weather

Golf in Ireland, Scotland, England, and Wales is played in highly variable weather conditions, including rain, wind, cold, fog, and storms. These conditions are inherent to golf in these regions and are part of the experience. Clients should be prepared to play in all conditions, including carrying wet-weather gear appropriate for links golf. Icon Golf does not guarantee weather conditions and will not issue refunds or credits for adverse weather that does not result in a course closure.

Temporary Tees and Greens

Golf courses may, at their discretion, use temporary tees, temporary greens, preferred lies, or modified hole configurations due to weather, maintenance, or course conditions. Clients should be prepared to play under these conditions. No refund, credit, or price reduction will be issued due to the use of temporary facilities unless the applicable golf course provides a compensating refund or credit to Icon Golf.

Caddies

Caddie availability varies by golf course and cannot be guaranteed by Icon Golf. Where caddies are provided or arranged, caddies are employees of or independent contractors engaged directly by the applicable golf course and are not employees or agents of any member of the Icon Group. No member of the Icon Group is responsible for the conduct, advice, or performance of any caddie. Caddie fees and gratuities, where not expressly stated as included in the Total Price, are payable locally by the Client at the applicable rate set by each golf course.

Carts and Trolleys

The availability of electric carts and motorized trolleys is subject to the policies and operational discretion of each golf course. Many traditional links courses in Ireland and the United Kingdom do not permit carts or require walking as a condition of play. Clients should be prepared to walk the course carrying or pulling their clubs. Icon Golf is not responsible for the unavailability of carts or trolleys at any golf course, and no refund will be issued if a Client is unable to use a cart or trolley due to course policy.

XIV. CONDUCT AND REMOVAL

Standards of Conduct

All Clients are expected to conduct themselves in a manner that is respectful of Icon Golf staff, fellow Clients, golf course staff, hotel and resort personnel, caddies, guides, and all other persons encountered during an Icon Links Trip. Clients must comply with all rules, regulations, and codes of conduct established by each golf course, hotel, resort, restaurant, or other venue visited during a Trip.

Grounds for Removal

Icon Golf or its designated Trip representative may, in their reasonable judgment, require a Client to leave a Trip or any portion of a Trip, without any obligation to issue a refund, where the Client engages in conduct including (i) public intoxication or disruptive behavior that interferes with the enjoyment of other Clients or the operation of the Trip; (ii) abusive, threatening, harassing, or offensive conduct directed toward any other person; (iii) damage to or destruction of property; (iv) conduct creating a safety risk to any person; (v) violation of the rules, regulations, or policies of any golf course, hotel, resort, or other venue; or (vi) any other conduct that, in Icon Golf’s reasonable judgment, materially disrupts the Trip experience of other Clients or brings Icon Golf or its partners into disrepute.

Consequences of Removal

A Client who is removed from a Trip under this Section will not be entitled to a refund of any portion of the Total Price paid for that Trip and will be solely responsible for all costs associated with returning home, including transportation, accommodations, and meals. Icon Golf’s decision to remove a Client under this Section is final.

XVII. COMPLAINT AND IN-TRIP ESCALATION

Notification

If any Client experiences a problem, dissatisfaction, or concern during an Icon Links Trip, the Client must notify Icon Golf’s designated local contact, or the management of the relevant hotel, golf course, or other venue immediately, and in any event within 24 hours of the problem arising. Prompt notification is essential to give Icon Golf and its Suppliers the opportunity to investigate and resolve the issue during the Trip. If a problem cannot be resolved to the Client’s reasonable satisfaction during the Trip, the Client must submit written notice to Icon Golf at the address or email address specified in the Booking Confirmation within 14 days after the conclusion of the Icon Links Trip, setting out in reasonable detail the nature of the complaint and the remedy sought.

Failure to Report

Icon Golf will not be liable for, and will not consider, any claim arising from a problem or dissatisfaction that was not reported in accordance with this Section.

XVIII. NO REFUND FOR UNUSED SERVICES

General Rule

No refund, credit, or price reduction will be issued for any Trip component or service that a Client does not use, regardless of the reason, including personal illness, late arrival, early departure, flight delay or cancellation, personal choice, weather disruption, failure to meet club access requirements, or any other cause.

Included Components

The Total Price covers all components described in the Booking Confirmation. Clients who elect not to participate in any included service will not receive a refund or credit for that component.

XIX. EXCLUSIONS; TAXES AND FEES

Exclusions

Each Booking Confirmation will specify what is included in the Total Price for the applicable Icon Links Trip. Unless expressly stated as included in the Booking Confirmation, the following are excluded from the Total Price and are the sole financial responsibility of each Client: (i) international and domestic airfare and all associated airline fees and taxes; (ii) travel insurance of any kind; (iii) personal spending money; (iv) gratuities for hotel staff, restaurant staff, caddies, drivers, guides, and other service personnel; (v) caddie fees; (vi) cart, electric trolley, or similar fees; (vii) alcoholic and non-alcoholic beverages beyond those expressly included in the itinerary; (viii) meals and dining beyond those expressly described in the Booking Confirmation; (ix) spa treatments, fitness facilities, and wellness services; (x) pro-shop purchases, green-fee extras, and optional golf experiences not in the itinerary; (xi) optional excursions or activities not listed in the Booking Confirmation; (xii) customs duties, visa and entry fees, and any government-imposed travel charges; (xiii) medical expenses; and (xiv) any items of a personal nature.

Local Taxes and Resort Fees

Certain resort fees, city taxes, tourist taxes, occupancy levies, or other locally imposed charges may be payable directly by Clients at hotels, resorts, or venues. Icon Golf will endeavor to identify known local fees in the Booking Confirmation but cannot guarantee that all such charges will be captured at the time of booking, as these fees are subject to change by local authorities and properties.

XX. PASSPORTS, VISAS, AND ENTRY

Client Responsibility

Each Client is solely responsible for (i) holding a valid passport with at least six months’ validity beyond the Trip Departure Date; (ii) obtaining all required visas, entry permits, or electronic travel authorizations for destination countries; (iii) meeting any health, vaccination, or medical requirements imposed by destination countries or transportation providers; (iv) complying with customs and import regulations; and (v) reviewing applicable travel advisories issued by the U.S. Department of State, the U.K. Foreign Commonwealth and Development Office, or other relevant authorities.

Denied Entry

No refund will be issued if a Client is unable to travel or is removed from a Trip due to failure to comply with passport, visa, health, or entry requirements.

XXI. AIR TRAVEL AND TRANSPORTATION

Exclusion of Airfare

International and domestic airfare is not included in the Total Price unless expressly stated in the Booking Confirmation. [Each Client is responsible for making and paying for his or her own air travel arrangements, including international flights to and from Ireland, Scotland, England, or other destination countries.]

Airline Responsibility

No member of the Icon Group is responsible for airline cancellations, delays, schedule changes, missed connections, or baggage loss or delay. Any costs arising from airline disruption are the Client's responsibility.

XXII. SPECIAL REQUESTS AND CONDITIONS

Disclosure

Each Client must disclose any medical condition, mobility limitation, dietary restriction, food allergy, or other special need to Icon Golf in writing at the time of Booking. Icon Golf and its Suppliers will make reasonable efforts to accommodate disclosed special requests.

Fitness to Travel

Each Client is responsible for determining whether a Trip is appropriate for his or her physical condition. Golf travel in Ireland and the United Kingdom may involve walking significant distances over uneven terrain in variable weather. Icon Golf is not responsible for any consequences arising from a Client’s failure to disclose a relevant medical or physical condition.

XXIII. LIMITATION OF LIABILITY; ASSUMPTION OF RISK; INDEMNIFICATION

Limitation of Liability

To the fullest extent permitted by applicable law, the aggregate liability of the Icon Group to any Client for any and all claims arising out of or related to an Icon Links trip or these Terms will not exceed the total price paid by that Client for the applicable trip, regardless of the form of action, whether in contract, tort (including negligence), strict liability, breach of warranty, or otherwise. In no event will any member of the Icon Group be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, regardless of (a) whether such damages were foreseeable, (b) whether any member of the Icon Group has been advised of the possibility of such damages, and (c) the legal or equitable theory (contract, tort, or otherwise) upon which the claim is based.

Assumption of Risk

Participation in golf travel involves inherent risks that cannot be eliminated without destroying the character of the activity. These risks include, without limitation, physical injury (including strains, sprains, fractures, and cardiovascular events) arising from walking over uneven terrain, playing golf, or participating in other physical activities; illness, including travel-related illness; property loss or damage; weather-related disruptions; transportation accidents involving third-party carriers; and other foreseeable and unforeseeable events beyond Icon Golf’s control. Each Client, by booking an Icon Links Trip, expressly acknowledges these inherent risks, voluntarily assumes all such risks, and to the fullest extent permitted by applicable law releases and forever discharges each member of the Icon Group from any claim, action, or demand arising from such risks, except to the extent caused directly by a member of the Icon Group’s gross negligence or willful misconduct.

Third-Party Liability

No member of the Icon Group is responsible for the negligence or misconduct of any Supplier or other third party. To the extent permitted by applicable law, Client releases each member of the Icon Group from any and all claims arising from the acts, omissions, or negligence of any Supplier.

Indemnification

Each Client agrees to indemnify, defend, and hold harmless each member of the Icon Group from and against any and all claims, damages, losses, and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to (i) the Client’s breach of any representation, warranty, or obligation under these Terms, (ii) the Client’s negligence, recklessness, or willful misconduct, or (iii) any claim, action, or demand brought by any third party arising out of or in connection with the Client’s conduct during an Icon Links Trip. The indemnification obligations of the Lead Traveler extend to any losses arising from the Lead Traveler’s failure to accurately communicate these Terms, collect and remit payments, or accurately represent the composition or eligibility of the travel party to Icon Golf. Icon Golf reserves the right, at its sole option and at the indemnifying Client’s expense, to assume exclusive control of the defense of any claim subject to indemnification under this Section. Each Client agrees to cooperate fully with Icon Golf in asserting available defenses and shall not, without Icon Golf’s prior written consent, settle, compromise, or consent to the entry of any judgment with respect to any claim for which indemnification is sought.

Photography and Media

Icon Golf or its affiliates may photograph and film Clients during Icon Links Trips for marketing, promotional, and editorial purposes. By booking a Trip, each Client grants to the Icon Group a perpetual, royalty-free, worldwide license to use his or her name, image, and likeness in such materials. Clients who do not wish to be photographed or filmed must notify Icon Golf in writing prior to the Trip Departure Date.

XXIV. GENERAL PROVISIONS

Entire Agreement

These Terms, together with the Booking Confirmation, constitute the entire agreement between Icon Golf and each Client with respect to the applicable Icon Links Trip.

Severability

If any term or provision of these Terms is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of these Terms or invalidate or render unenforceable such term or provision in any other jurisdiction.

Waiver

Failure by Icon Golf to enforce any provision in a particular instance does not constitute a waiver of future enforcement rights.

Governing Law

These Terms and all disputes arising out of or related to them or any Icon Links Trip are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles.

Venue

Any legal suit, action, or proceeding arising out of or related to these Terms or an Icon Links Trip shall be brought exclusively in the state or federal courts located in Tarrant County, Texas. The parties irrevocably and unconditionally waive any objection to venue of any suit, action, or proceeding in such courts and irrevocably waive and agree not to plead or claim in any such court that any such suit, action, or proceeding brought in any such court has been brought in an inconvenient forum.
